Total Cost of Ownership

1. Quote and order form. This quote is a commercial proposal and order form only. It is incorporated into and governed by the Master Services Agreement, Privacy Policy, Support Policy, and Hardware Terms. If there is any conflict among documents, the Master Services Agreement controls unless this quote expressly states otherwise and both parties have initialed or electronically approved the conflicting section.
2. Electronic acceptance. By clicking “Approve,” the client electronically signs this quote and authorizes issuance of the deposit invoice. Approval confirms agreement to the included scope, pricing, and incorporated terms.
3. Deposit, cancellation, and refunds. Unless otherwise stated in writing, any required deposit becomes non-refundable once we begin procurement, configuration, development, or other performance. If the client cancels or suspends after work has commenced, the client remains responsible for all work performed, third-party charges incurred, and any non-cancellable commitments made on the client’s behalf.
4. Scope and change orders. Only the items expressly listed in this quote are included. Any additional work, revisions, integrations, devices, users, or requirement changes must be approved in writing and may require a change order with additional fees or schedule adjustments. We have no obligation to begin out-of-scope work until the change order is accepted.
5. Support and membership. Monthly membership includes only the services expressly included in the selected tier and supporting documents. Hosting, maintenance, backups, email, SMS, updates, and support are included only to the extent described in the selected plan or Support Policy. Specific service levels, response times, and support hours are governed by the Support Policy.
6. Data and privacy. Customer data processing is governed by the Privacy Policy and, where applicable, a Data Processing Addendum. We may process customer records, contact information, operational data, GPS/location data, messages, logs, and payment-related metadata only as necessary to provide, secure, maintain, and support the services. The client is responsible for its own end-user notices, consents, and compliance obligations where applicable.
7. Intellectual property. Unless otherwise stated in the Master Services Agreement, custom deliverables created specifically for the client are assigned or licensed to the client as described in that agreement. Pre-existing materials, frameworks, templates, libraries, and generalized know-how remain our property or that of our respective licensors. Any reference to MIT licensing applies only to components expressly identified as MIT licensed in the delivered source or written agreement.
8. Hardware terms. Any hardware sold or provided is governed by the Hardware Terms, including title transfer, risk of loss, warranty coverage, return conditions, and inspection rights. Buyback or upgrade credits apply only if hardware is returned within the stated period, in working condition, and subject to inspection and any deductions for damage, missing components, misuse, or unpaid balances.
9. Compliance note. If any product or plan offered under this arrangement constitutes a regulated service contract or similar product under Oregon law, applicable registration and disclosure requirements may apply.

By approving this Quote, you acknowledge that you have reviewed the scope and pricing above and agree that the MSA and attached policies will be signed before work begins. A complete copy of all paperwork will be delivered to you during the implementation process.
